Welcome to Sherpa. By accessing or using our mobile application and related web services, you agree to be bound by these Terms of Service.
Please read these Terms carefully before using the service. If you do not agree to them, you may not access or use Sherpa.
2. Description of Service
Sherpa provides an outdoor recreation platform that may include:
- Mobile navigation and trail guidance
- Trail center management tools
- Trail condition updates and announcements
- Map visualization and route planning features
- Account-based features such as synchronized activity history
3. User Accounts
Some features of the service require you to create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your credentials secure and confidential
- Accept responsibility for activity under your account
- Notify us promptly of unauthorized access or security incidents
We may suspend or terminate accounts that violate these Terms or applicable law.
4. User Conduct
When using Sherpa, you agree not to:

You retain ownership of your content, but you grant Sherpa the rights reasonably necessary to operate, display, and distribute that content in connection with the service.
6. Intellectual Property
The service and its original content, features, and functionality are owned by Sherpa and protected by applicable intellectual property laws.
You may not:
- Copy, modify, or distribute our content without permission
- Use Sherpa branding without authorization
- Reverse engineer or decompile protected portions of the service
- Remove proprietary notices
7. Third-Party Services
Sherpa integrates with third-party services, including mapping, authentication, infrastructure, and notification providers.
Your use of third-party services is also subject to their own terms and privacy policies.
8. Trail Safety Disclaimer
Sherpa provides navigation assistance and trail information, but trail conditions can change rapidly and GPS or mapping data may be inaccurate or unavailable.
- You remain solely responsible for your safety while on trails
- You should carry appropriate safety equipment and supplies
- You should verify weather and trail conditions before outdoor activities
- The service is not a substitute for proper preparation, judgment, or training
Outdoor activities involve inherent risks, including injury or death. Use Sherpa at your own risk.
9. Disclaimers
The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the fullest extent permitted by law.
10. Limitation of Liability
To the maximum extent permitted by law, Sherpa and its officers, directors, employees, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the service.
11. Indemnification
You agree to defend, indemnify, and hold harmless Sherpa and its officers, directors, employees, and agents from claims, losses, liabilities, and expenses arising from:
- Your use of the service
- Your violation of these Terms
- Your violation of third-party rights
- Your submitted content
12. Termination
We may terminate or suspend access to the service for reasons including breach of these Terms, legal requirements, security concerns, or service discontinuation.
13. Governing Law
These Terms are governed by the laws applicable in Quebec and Canada, without regard to conflict of law rules, unless another mandatory legal regime applies.
14. Changes to Terms
We may update these Terms from time to time. When we do, we will update the published version and, where appropriate, require renewed acceptance before continued use.
15. Severability
If any provision of these Terms is unenforceable or invalid, the remaining provisions will remain in full force and effect.
16. Entire Agreement
These Terms, together with the Privacy Policy and any additional notices incorporated by reference, constitute the entire agreement between you and Sherpa regarding use of the service.
